DIFFERENCE IS SOUND QUALITY. BOSE QC 35 II HAS NATURAL SOUND AND STRAIGHT FORWARD WARM CLASSIC STEREO. THIS ULTRA IS JUST A REDESIGNED TECHY HEADPHONE BUT HAS NO HEART IN IT. THIS IS ALL CAPS BECAUSE I IMPULSIVELY PURCHASED AN ALMOST BRANDNEW QC ULTRA AND MY OLD QC II HAS BETTER SOUND QUALITY FAAKKKK
